You ("You" or "Member") must complete the Membership Form and read and agree to the terms and conditions of this Agreement ("Agreement") to joining ConsumerCandy. Applying and Joining ConsumerCandy.com will serve as a testament to your acceptance of the below terms and Conditions.

IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT INCLUDING THE PRIVACY POLICY, CONSUMERCANDY IS UNWILLING TO OFFER YOU THEIR SERVICE. YOU SHOULD LEAVE THE SITE AND NOT ATTEMPT TO PARTICIPATE IN THE CONSUMER CANDY'S SERVICE.

1. ConsumerCandy, a Delaware corporation, ("ConsumerCandy" or "we") may update or change these terms from time to time, in our sole discretion by updating this posting, and the revised terms will take effect on the date they are posted. Your continued use of the Service will indicate and attest your acceptance to the modified terms. Please be sure to review the terms and conditions on this website regularly as their may often be changes.

2. You must be 13 years of age or older to participate. If you are between the ages of 13 to 17, you must obtain parental permission before using the ConsumerCandy's service.

3. BASIC REQUIREMENTS FOR MEMBERSHIP. To maintain a Membership in the ConsumerCandy Service, You must meet the following requirements and ConsumerCandy reserves the right to terminate the Membership of anyone who fails to meet these requirements on an ongoing basis. If your account is terminated by Consumer Candy, under no circumstances will you be paid for accumulated earnings and the member agrees that accounts may be terminated by Consumer Candy in their sole discretion and with out appeal.

4. PROVIDE ACCURATE INFORMATION. It is essential that members provide ConsumerCandy with their complete and valid contact information and promptly update Consumer Candy's should it change. As well, should Consumer Candy require any additional information for tax-related purposes or any other reason required by applicable law, then member agrees to provide such information on request. Moreover, ConsumerCandy reserves the right to request verification of, and member agrees to be subject to verification of, any of the information provided by member for enrollment with and continued use of the services provided by ConsumerCandy. Member.s may not misrepresent their identity. ConsumerCandy reserves the right to terminate any account, and associated membership, containing untruthful or inaccurate information. ConsumerCandy is not responsible for lost payments or communications due to your failure to provide ConsumerCandy with valid contact information.

5. APPROVED TERRITORIES. The ConsumerCandy Service is currently available only in the United States and Canada. You must be physically located and having permanent legal residence within the United States or Canada while using the ConsumerCandy Service,

6. ONE ACCOUNT PER MEMBER. Members may only sign up one time and may not have in excess of one account with Consumer Candy. ConsumerCandy reserves the right to terminate any duplicate accounts in their sole discretion. Member understands and agrees that creating duplicate accounts will result in a complete loss of earnings from their duplicate account and or both accounts.

7. ACTIVITY LEVEL. You must earn and accumulate cash in your ConsumerCandy account through a method provided by ConsumerCandy.com at least once in any continuous three month period. ConsumerCandy reserves the right to terminate your account at any time if this level of participation and activity is not met, and as previously stated, termination of an account will necessarily result in the loss of all accumulated earnings.

8. ENROLLMENT. ConsumerCandy at its sole discretion may refuse to grant applications for membership or refuse to continue any members membership for any reason whatsoever.

9. MEMBER ETIQUETTE. Member shall not tamper, hack, spoof, copy, modify, or otherwise corrupt the administration, security, or proper function of any part of ConsumerCandy. Member shall not use robots or scripts with ConsumerCandy. Violation by member will result in termination of membership, loss of all accrued credits, will bar member from future participation with the service of ConsumerCandy, and may result in legal action against the member. Any decision made by ConsumerCandy relating to termination of membership in cases of suspected abuse or violation of its rules or any termination for any reason whatsoever shall be final and binding.

10. NO TAMPERING. You agree not to tamper with the proper functioning and tracking of the Service. Emulating or "faking" search usage, web site visits, sales or any other type of action, will lead to termination of Your account and may lead to legal action.

11. CONSUMERCANDY NEWSLETTER AND OTHER MARKETERS EMAILS. By signing up for ConsumerCandy, you are opting-in to receive ConsumerCandy newsletters and other emails offers from 3rd party marketers. If you do not wish to receive these emails, you may opt-out at any time, by updating your Account Info, however, by enrolling and opting in the member hereby waives all rights of complaint to the receipt of emails from Consumer Candy or their Marketing Partners, as well as, the frequency of emails or their content.

12. ACCOUNTS ARE NON-TRANSFERABLE. Your password and account are not transferable to any third party; and only you yourself may use your account and receive benefit from your membership. Similarly, you may not use anyone else.s account and receive benefit from an account other than your own. It is the Members responsibility to keep their password secret. Consumer Candy is not liable for losses caused by misuse of your account by third parties.

13. TERMINATION AND CANCELLATION. ConsumerCandy at its sole discretion and for any reason or no reason at all may terminate any Members account without prior notice for any reason what so ever. If a member.s account is terminated all accumulated funds will be forfeit and by enrolling the member understands that he/she faces the risk of a sudden termination and hereby waives any right to accumulated funds in terminated accounts when terminated with or without cause. If a member.s account is terminated by Consumer Candy, the member may not reenroll or join under a new account unless formally invited to do so by ConsumerCandy.

14. Member.s may cancel their Membership at anytime by notifying ConsumerCandy at Members@ConsumerCandy.com If you decide to cancel Your membership and later wish to and are granted re-enroll, You will be assigned by Consumer Candy a new account number and You will not receive credits from your previous account.

15. CREDITS, EARNINGS, AND CASH LIMITS. All members will be limited to receiving a credit in the form of points, credits and/or cash for one (1) offer completion per category per day. Categories may be divided by Consumer Candy into several major niche areas. For example, if a member completes two (2) offers in the .health. category, the member will only receive credit for one (1) offer. No member will be given points, credit or cash earnings if he/she completes more then one offer in the same category provided on the ConsumerCandy.com website. While Consumer Candy will always make best efforts to pay out the rewards to their members, in a case where Consumer Candy does not receive payment from their sponsors or advertisers for a members actions, Consumer Candy will not payout rewards or earnings to the member, and if rewards or earnings have already been apportioned to the member then Consumer Candy reserves the right to debit the users account in the amount of the said earnings.

16. REDEMPTION PROCESS REQUIRMENTS. ConsumerCandy members must provide and submit the following: (a) email address which has been verified by ConsumerCandy (b) their current mailing address (c) correct first and last name (d) a completed redemption request form which will be made available on www.ConsumerCandy.com. These conditions are mandatory so that ConsumerCandy can verify that the check is sent to the correct person.

17. YOUR RELATIONSHIP TO CONSUMERCANDY. By filling out the membership information, You are applying to receive a service. Your relationship to ConsumerCandy is one of an independent contractor and/or customer. No employee-employer relationship is created by Your use of the Service. You are fully responsible for filing local, state, or federal or any other taxes if applicable on any compensation received as a result of Your participation in the Service. If Your annual earnings through the ConsumerCandy Service reaches $250.00 ConsumerCandy may request Your Social Security number (or Social Insurance number for Canadian residence) and other appropriate tax-related information to use to comply with federal and state tax regulations. ConsumerCandy may not pay out credits earned in excess of the $250 annual limit without receiving this information from You.

18. YOU AGREE AND UNDERSTAND THAT ALTHOUGH CONSUMERCANDY WILL MAKE REASONABLE EFFORTS TO MAKE THE ACTIVITY DETECTION PROCESS FAIR AND CONSISTENT, CONSUMERCANDY DOES NOT GUARANTEE THE PRECISION OF THE PROCESS. YOU WILL ONLY BE CREDITED FOR ACTIONS WHEREBY CONSUMER CANDY RECEIVES PAYMENT FROM THEIR SPONSORS AND BASED ON CONSUMERCANDY'S SOLE DISCRETION.

19. REWARD LIMITS PER DAY. The number of rewards that will be credited to Your account is limited per day ("Daily Rewards Limit") to 3 (three) rewards per day in total and via any means available from Consumer Candy, and ConsumerCandy reserves the right to change the Daily Limit at any time.

20. THE LIMITS PER DAY AND PAYMENT RATES MAY CHANGE. The amount of earnings that will be credited to Your account for purchases, or for visiting of sponsor.s websites or referring other consumers, may vary and change from time to time, and ConsumerCandy will compensate the member according to the rates posted at the time of transaction next to each product you purchase, as tracked by ConsumerCandy, subject to the limits herein. As well the rates paid for the activities of Your Referrals are subject to change. New rates will be posted from time to time at http://www.ConsumerCandy.com.

21. REFERRALS. You will receive a one time credit per person referred only if the member you referred visits www.ConsumerCandy.com and in the next 3 (three) months purchases a sponsors a product.

22. REFERALS. Consumer Candy offers their members a chance to earn rewards for referring friends. At this time the reward offered by consumer Candy is $5.00 per friend referred. In order for a referral to be considered a referral and Consumer Candy to credit earnings to the referring member, the party referred must complete the following activities: The referred party must respond to an email sent by consumer candy containing an invitation to join the Consumer Candy program. The referred party must then follow the links contained in that email to the Consumer Candy website. The person must supply Consumer Candy with his or her full and complete contact information as well as all standard Consumer Candy member signup information. The person must then proceed to click on an offer or combination of offers on the consumer candy website and purchase a product or products from Consumer Candy's sponsors which reward value to the member will equal a minimum of $25.00. After the purchase transactions have been approved and confirmed to Consumer Candy, only at this time a member will receive their $5.00 referral fee.

23. ONE REFERRER ONLY. Each new Member may only designate one referrer at the time they become a member of ConsumerCandy.

24. MEMBERS MAY NOT USE SPAM TO OBTAIN REFERRALS. You may not use unsolicited email, usenet, or message board postings ("SPAM") to gain referrals. (Usenet and message board spam are messages sent or posted which are unrelated to the topic of discussion of the particular news group or message board.) In a case where any sort of Spam has been used to obtain new member referrals, no referral earnings will be accumulated by the spammer and the spammers membership may be terminated by ConsumerCandy, and their accumulated earnings will be confiscated. In addition, You may be subject to state and federal penalties or other legal consequences under applicable law if You send unsolicited email.

25. No benefits are available to members for referrals of advertisers to ConsumerCandy.

26. The following conditions are essential in order for ConsumerCandy members to receive credit from Consumer Candy for participating in offers. ConsumerCandy members must have cookies enabled. ConsumerCandy members must access the merchant site through ConsumerCandy. These conditions are essential so that the sponsor will have record that the ConsumerCandy member used ConsumerCandy's site to reach the sponsor.s site and fulfill the particular offer. As well, In order for Consumer Candy Members to receive their earnings from Consumer Candy, certain specific criteria must be met. No payments will be owing or sent to members who do not meet the following criteria (a) Member must supply Consumer Candy with a valid email address which has been verified by ConsumerCandy (b) Member must supply Consumer Candy with their current mailing address (c) Member must supply Consumer Candy with their correct first name and Last Name (d) Member must supply Consumer Candy with a fully completed redemption request form which will be made available on www.ConsumerCandy.com.

27. Member understands and agrees that the earnings awarded to ConsumerCandy members are subject to changes and deductions to member.s accounts may be made due to returns, cancellations, and other events influencing the relationship between Consumer Candy and their Sponsors. IF you disagree with the changes made your sole option is to deactivate your ConsumerCandy account. Continuing usage of the Consumer Candy's services will imply absolute acceptance of Consumer Candy's terms and Conditions.

28. ConsumerCandy does not warranty, guarantee, or insure the quality of any product or service from their sponsors.

29. MONITORING YOUR ACCOUNT BALANCE. You may view your account balance at the ConsumerCandy "Account Balance" web page. Account information is not updated in real-time as earnings are accrued, but ConsumerCandy will try to keep the amounts updated in a reasonable fashion.

30. YOUR RELATIONSHIP WITH ADVERTISERS. Your relationship with Sponsors, merchants or advertisers located on the ConsumerCandy website including issues of payment for and delivery of related goods or services, entry into and operation of promotions, discounts or contests, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such merchant, advertiser, or sponsor. You agree not to hold ConsumerCandy liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the product provided by said merchants, advertisers or sponsors through the Consumer Candy Service.

31. TERMINATION. If a Member's account is terminated by ConsumerCandy, ConsumerCandy may refuse to pay some or all of the amounts credited to the terminated Member's account. In the case of a fraud by the member or any violation of the terms and conditions of Consumer Candy, ConsumerCandy will not pay any earnings from that members account or to members that he or she had referred. If a member.s account is terminated by ConsumerCandy, that member may not re-enroll or join under a new account unless formally and specifically invited to reenroll by ConsumerCandy.

32. MAILING OF CHECKS. Subject to the limitations herein, ConsumerCandy will mail a check to Members within a reasonable time after You have accumulated at least $25 U.S. currency in Your account, and after 30 days have past from the participation and completion of an offer.

33. DISCLAIMER OF WARRANTIES. MEMBER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT THE MEMBERS SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, CONSUMERCANDY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED BY LAW, CUSTOM OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. CONSUMERCANDY MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE CONSUMER CANDY PROGRAM OR ANY TRANSACTIONS ENTERED INTO THROUGH THE CONSUMER CANDY PROGRAM.

34. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEITHER CONSUMERCANDY NOR ANY OF ITS MEMBERS, SUBSIDIARIES, SPONSORS, PUBLISHERS, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF USER'S TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLES, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL CONSUMERCANDY'S TOTAL CUMULATIVE LIABILITY TO ANY MEMBER UNDER THIS AGREEMENT EXCEED $200 AND BY BECOMING A CONSUMER CANDY MEMBER AND PARTICIPATING THE CONSUMER CANDY PROGRAM THE MEMBER AGREES TO WAIVE ALL DAMAGES ABOVE $200.

35. ERRORS AND OMMISIONS. In the event of an error made by Consumer Candy in any way, and specifically but not limited to over crediting an account, Consumer Candy reserves the right to make amendments to the members account however they see fit to rectify their error and reverse credits and payments.

36. SECURITY. No data transmitted over the Internet can be 100% secure. As a result, while we strive to protect your personal information, ConsumerCandy cannot and does not guarantee the security of any information that you transmit to us or from our sponsors and You do so at Your own risk.

37. This Agreement constitutes the entire Agreement between You and ConsumerCandy in connection with membership in ConsumerCandy and supersedes all prior agreements between the parties regarding the subject matter contained herein. If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of this Agreement will remain in force. No failure of either party to exercise or enforce any of its rights under this Agreement will act as a waiver of such rights.

38. GOVERNING LAW AND OTHER TERMS. Any action related to this Agreement will be governed by Delaware Law. Any action relating to this Agreement shall be brought in the state or federal courts located in Delaware, and You hereby submit to the exclusive jurisdiction and venue thereof. You agree to comply with the laws of Delaware and the United States that apply to the use of this Service and the compensation You may receive. If the law of Your country, state, or province of residence prohibit or limit Your participation in this Service, then You are responsible for complying with such laws and you agree to indemnify ConsumerCandy against any breach. If any part of this Agreement is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect. This Agreement is personal to You and You may not transfer, delegate, or assign this Agreement, your ConsumerCandy account or other benefits you receive as a ConsumerCandy Member to anyone. Any attempt by You to assign or delegate this Agreement shall be null and void. ConsumerCandy may assign this Agreement at its sole discretion.

39. It is essential that the user reads our Privacy Policy prior to becoming a member and member agrees to read said privacy policy prior to accepting Consumer Candy's terms and Conditions.
